User terms and conditions

1. Introduction

1.1 The following terms and conditions (the "Terms") shall apply when you create a user profile (known as: My Profile) on www.logbuy.co.uk and www.mylogbuy.com (the "Portal"). Please read these Terms carefully before you start to create a user profile. By using the Portal, you indicate that you accept these Terms and that you agree to abide by them. If you do not agree to these Terms, please refrain from using the Portal.

2. Information on user profile and other data

2.1 It is mandatory to create a user profile to be able to use the Portal, but by creating a user profile you will have access to certain additional services and features. If you decide to create a user profile, you are requested to provide certain mandatory information, i.e. your name, date of birth, gender, e-mail address and mobile phone number.

2.2 You may at any time change your user profile information.

2.3 Any material you upload to the Portal will be considered non-confidential and non-proprietary, and we have the right to use, copy, distribute and disclose to third parties any such material for any purpose. We also have the right to disclose your identity to any third party who is claiming that any material posted or uploaded by you to the Portal constitutes a violation of their intellectual property rights, or of their right to privacy.

2.4 We will not be responsible, or liable to any third party, for the content or accuracy of any materials posted by you or any other user of the Portal.

2.5 Subject to clause 3.3, the information you have registered in your user profile is not available for others except for LogBuy and/or LogBuy’s hosting provider (if any).

2.6 LogBuy makes use of "cookies" as described in our privacy policy available at the front page of the Portal. Moreover, we register your use of the Portal to be able to customize its content, in accordance with clause 3.1.

2.7 Access to the Portal is permitted on a temporary basis, and we reserve the right to withdraw or amend the service we provide on the Portal without notice. We will not be liable if for any reason the Portal is unavailable at any time or for any period.

2.8 From time to time, we may restrict access to some parts of the Portal, or our entire site, to users who have created a user profile with us.

2.9 If you choose, or you are provided with, a user activation code, password or any other piece of information as part of our security procedures, you must treat such information as confidential, and you must not disclose it to any third party. We have the right to disable any user activation code or password, whether chosen by you or allocated by us, at any time, if in our opinion you have failed to comply with any of the provisions of these Terms.

3. The purpose of the processing

3.1 The purpose of LogBuy’s processing of the personal information stated in clause 2 is to improve the Portal and to customise its content specifically to you and your specific interests. Moreover, as a registered user, you gain access to a number of other services on the Portal.

3.2 We process non-personal data about our user’s use of the Portal for statistic purposes, and we provide our suppliers access to such information in order to constantly be able to provide our users with the best products at the lowest possible prices.

3.3 LogBuy shall not transfer your personal data to third party, unless (i) it is required in order to fulfil the agreement between LogBuy and you, (ii) you have provided LogBuy with prior written consent to do so, or (iii) it is a required by law or regulatory requirements.

3.4 If you use your profile to actively express your opinion about a product or a supplier, e.g. by clicking the "I like" icon, other registered users in the company where you are employed or otherwise associated with will be able to see this (including your photo if your profile includes a photo of you).

4. Objection, access and deletion

4.1 You are entitled to object to the processing of your personal data and to gain access to the information we process about you. Any request hereof shall be made in writing to LogBuy.

4.2 If you discover that the information you have registered in your user profile is inaccurate or misleading, you should correct the information.

4.3 LogBuy is required for accounting purposes to store certain personal data for a period of up to 5 years. The information shall not be available to you or other users.

4.4 If you are no longer employed by or in another way connected to the company which LogBuy has entered a customer agreement with, you shall cease using the portal without undue delay. Additionally, the company in question has through an administrator module access to deactivate your profile. LogBuy disclaims any and all liability in case of such deletions.

5. Intellectual property rights

5.1 We are the owner or the licensee of all intellectual property rights in the Portal, and in the material published on it. Those works are protected by copyright laws and treaties around the world. All such rights are reserved.

5.2 You may print off one copy, and may download extracts, of any page(s) from the Portal for your personal reference and you may draw the attention of others within your organisation to material posted on the Portal.

5.3 You must not modify the paper or digital copies of any materials you have printed off or downloaded in any way, and you must not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text.

5.4 Our status (and that of any identified contributors) as the authors of material on the Portal must always be acknowledged.

5.5 You must not use any part of the materials on the Portal for commercial purposes without obtaining a licence to do so from us or our licensors.

5.6 If you print off, copy or download any part of the Portal in breach of these terms of use, your right to use the Portal will cease immediately and you must, at our option, return or destroy any copies of the materials you have made.

6. Our liability

6.1 The material displayed on the Portal is provided without any guarantees, conditions or warranties as to its accuracy. To the extent permitted by law, we, other members of our group of companies and third parties connected to us hereby expressly exclude:

6.1.1 All conditions, warranties and other terms which might otherwise be implied by statute, common law or the law of equity.

6.1.2 Any liability for any direct, indirect or consequential loss or damage incurred by any user in connection with the Portal or in connection with the use, inability to use, or results of the use of the Portal, any websites linked to it and any materials posted on it, including:

6.1.2.1 loss of income or revenue;

6.1.2.2 loss of business;

6.1.2.3 loss of profits or contracts;

6.1.2.4 loss of anticipated savings;

6.1.2.5 loss of data;

6.1.2.6 loss of goodwill;

6.1.2.7 wasted management or office time; and

6.1.2.8 whether caused by tort (including negligence), breach of contract or otherwise, even if foreseeable, provided that this condition shall not prevent claims for loss of or damage to your tangible property or any other claims for direct financial loss that are not excluded by any of the categories set out above.

6.2 This does not affect our liability for death or personal injury arising from our negligence, nor our liability for fraudulent misrepresentation or misrepresentation as to a fundamental matter, nor any other liability which cannot be excluded or limited under applicable law.

7. Other terms and conditions

7.1 LogBuy aims to keep the Portal and its services accessible at all times, but has, however, no liability toward you as a user for any disruptions or lack of access to the Portal or its services.

7.2 LogBuy shall not be held liable for any printing or typing errors or other erroneous information on the Portal. Furthermore, LogBuy is not liable for fulfilling the agreements, which you have entered into with the suppliers via the Portal. This shall solely be a matter between you and the supplier in question.

7.3 LogBuy reserves the right to block your user profile, if you use the Portal or its services contrary to these Terms or if LogBuy for other reasons deems this to be necessary.

7.4 Commentary and other materials posted on the Portal are not intended to amount to advice on which reliance should be placed. We therefore disclaim all liability and responsibility arising from any reliance placed on such materials by any visitor to the Portal, or by anyone who may be informed of any of its contents.

7.5 We aim to update the Portal regularly, and may change the content at any time. If the need arises, we may suspend access to the Portal, or close it indefinitely. Any of the material on the Portal may be out of date at any given time, and we are under no obligation to update such material.

7.6 Where the Portal contains links to other sites and resources provided by third parties, these links are provided for your information only. We have no control over the contents of those sites or resources, and accept no responsibility for them or for any loss or damage that may arise from your use of them.

8. Jurisdiction and applicable law

8.1 The English courts will have exclusive jurisdiction over any claim arising from, or related to, a visit to the Portal although we retain the right to bring proceedings against you for breach of these conditions in your country of residence or any other relevant country.

8.2 These terms of use and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales.

9. Changes to the terms and conditions

9.1 LogBuy may at any time make changes to these terms and conditions.

9.2 In case of any changes, you may be informed about and asked to accept such changes the next time you log on the Portal. You are expected to check this page from time to time to take notice of any changes we made, as they are binding on you. Some of the provisions contained in these Terms may also be superseded by provisions or notices published elsewhere on the Portal.
